What the role entails:

The Global M&A and Corporate Governance Advisory team serves as an extension to publicly traded companies’ investor relations efforts. Through various initiatives, the team assists companies in three principal activities, a) general meetings b) M&A activity and c) investor relations/CFO support. The team works closely with the investor relations and legal teams of issuers, as well as their board of directors by assisting them in understanding how their resolutions are viewed by their shareholders, the perception of the resolutions being put forward by both the buy-side and third parties and how the buying and selling of their equity shares affects how many shares they can vote, enabling advice to be given on what Ipreo by IHS Markit thinks the voting outcome could be and how to position themselves to receive maximum shareholder support. The analyst needs to have a solid understanding of the non-financial and financial markets and the ability to analyze data so we can better service and advise all our Issuer clients and their advisers.

What’s in it for you:

  • Assisting clients involved in Pre-AGM or in the lead up, as well as during M&A activity
  • Researching ESG and Corporate Governance trends and advising issuers on the ESG/CG risks within their shareholder base
  • Become a trusted advisor for issuers when it comes to ESG best practice advice, shareholder activist defense as well as corporate governance best practice
  • Regular verbal, face to face and email communication with Ipreo by IHS Markit's clients to discuss current projects and strategy to be successful at coming shareholder meetings incl. market watch analytics (e.g. trading activity, sell side trends, shareholder movements)
  • Regular verbal, face to face and email communication with the buy-side in the region to discuss current projects and ascertain investor sentiment, holding and voting or tender position, voting process and vote direction
  • Regular verbal, face to face and email communication with other Issuer advisors (Investment Banks, Law Firms, Communication Firms) in the region to discuss current projects and strategy to be successful at the coming shareholder meeting
  • Regular verbal, face to face and email communication with the advisory community to maintain and build new relationships, keeping them up to date on what Ipreo by IHS Markit has been working on
  • Opportunity to craft and develop daily, weekly, monthly and quarterly reports & feedback to issuers and key market players
  • Opportunity to build a network of buy-side relationships with investors, custodians and especially corporate action teams
  • Built up analytical know how to track shareholder movements to combine market intelligence with ESG projections, market sentiment analytics and governance and M&A advisory capabilities
  • Attending, organizing, speaking at industry events about M&A, ESG and Corporate Governance
  • Collaboration with Ipreo by IHS Markit's execution teams in London, Frankfurt, Hong Kong and New York to understand deliverables and have input on production
  • Collaboration with Ipreo by IHS Markit's sales team to actively meet in-person with clients and to assist with new business pitches

What we look for:

A highly motivated and personable individual who is dynamic, articulate, well-rounded, critical thinker with the resourcefulness and qualitative skills that will allow them to execute effectively on all client tasks.

  • Comfortable speaking with people for the first time and tracking them down via telephone
  • Able to speak in German, French, Japanese or Chinese
  • Comfortable working with clients of all different levels including their board, management and corporate secretary teams
  • Comfortable talking through strategies and giving advice on complex issues surrounding corporate governance and Shareholder Meeting Resolutions
  • Comfortable building and maintaining new relationships with the institutional investor, governance advisory and issuer community
  • Must have relevant direct experience with issuers
  • Verbal and written fluency in English required; solid command of German or French highly preferred
  • Strong understanding of the equity markets and of the Shareholder Meeting and/or M&A process
  • Superior analytical reasoning, oral and written communication skills
  • A creative mind who brings in fresh ideas, challenges the status quo and helps develop the offering and markets
  • Someone who doesn’t shy away from networking, speaking at events and establishing relationships across the industry
  • An ability to oversee and absorb large amounts of information in a high-energy, fast-paced environment
  • Detail oriented; able to multi-task; strong organizational skills
  • Strong project management skills
  • Extensive knowledge of FactSet, Advanced MS Excel, Bloomberg Workstation, Microsoft PowerPoint and the motivation to learn new applications
